Standard Terms of Service

We provide the services described in the proposal or statement of work you approve (the “SOW”). Each SOW is incorporated into these Terms. Work outside the SOW is a new scope the parties agree to in writing first.

Fees are as stated in the SOW. Unless the SOW says otherwise, fees are due in full before work begins and are non-refundable once work has started. Optional ongoing services (such as maintenance) are billed as stated in the SOW. Third-party tooling (for example, API providers) runs on the Client's own accounts at the Client's expense unless the SOW states it is included.

We begin once payment and the Client-provided inputs listed in the SOW are received. Stated build times run from that point and depend on timely Client inputs and approvals.

We guarantee the work functions as described in the SOW. If it does not, we will fix it. If there is a disagreement about whether something is within scope, the Client is entitled to two rounds of revision, within reason. This covers conformance to the described scope; it is not a guarantee of any particular business, revenue, or win-rate outcome.

The Client will provide the inputs, access, content, and approvals described in the SOW, is responsible for the accuracy of what it provides, and for maintaining its own accounts and credentials. Delays in Client inputs extend timelines accordingly.

The Client owns the deliverables built specifically for the Client under the SOW, along with the Client's own data, documents, and account credentials, which remain the Client's at all times. Astrid Labs retains ownership of its pre-existing tools, methods, templates, and know-how, and general improvements to them, and grants the Client a perpetual license to use them to the extent embedded in the deliverables.

Each party will keep the other's non-public information confidential and use it only to perform or receive the services. This does not apply to information that is public, independently developed, or rightfully obtained from a third party.

We will perform the services in a professional and workmanlike manner. Except for the guarantee in Section 4 and this warranty, the services are provided “as is,” and we disclaim other warranties to the extent permitted by law. We do not warrant specific outcomes, results, or third-party service availability.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Astrid Labs' total liability under an engagement is limited to the fees paid by the Client for that engagement.

These Terms apply to each engagement until the services are complete. Either party may terminate for the other's material breach not cured within 10 business days of written notice. Fees for work performed up to termination are earned and non-refundable.

Astrid Labs is an independent contractor. Nothing here creates a partnership, employment, or agency relationship.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes in good faith; any unresolved dispute is subject to the exclusive jurisdiction of the state and federal courts located in Florida.

We may update these Terms from time to time. The version in effect when you approve a proposal governs that engagement.
